By Laws

Article I.          Name and Insignia

Section 1.01                The name of this club shall be

(a) “The Gents Auto Club of Spokane”

          (i)    Herein known as “The Gents”

Section 1.02                The Club shall have such official insignia as the membership shall determine.


Article II.       Objects

Section 2.01                The Club exists to promote interest in handling and care of American Vintage Automobiles.

Section 2.02                The Club exists to create good fellowship and sportsmanship among the members.

Section 2.03                The Club will conduct club operation and activities in such a manner as to bring about a clearer understanding on the part of the public, press, and law enforcement agencies of organized club activities.

Section 2.04                The Club will promote safety in automobile maintenance and operations.

Section 2.05                The Club will provide the membership with any and all the benefits available to such an organization.


Article III.     Membership

Section 3.01                There shall be two types of membership in this club: Active and Honorary.

Section 3.02                Any person of good character and owner of an approved vehicle are eligible for active membership in this club with full privileges thereof.

(a) The marital spouse of an active member may become an Active member as long as the current member stays Active and the spouse pays the Annual dues on time.

Section 3.03                Honorary membership may be conferred upon a person by vote of the membership for meritorious service to The Club. Honorary members shall not pay dues or have a vote in club business.

Section 3.04                All applications for membership must be sponsored by an active member in good standing and must be accepted by two thirds majority vote of the members.

(a) Voting on membership will take place on or after prospective member’s third meeting.

Section 3.05                Any member who commits unsafe driving acts on public streets or highways, or whose conduct is otherwise detrimental to the purpose and standing of The Club may be fined or be expelled from The Club or put on probation by a two thirds vote of all members, after being given a proper hearing.

Section 3.06                Any member who is continually absent from club meetings or functions without due cause may be expelled from The Club by a two thirds vote of the active club members.


Article IV.     Initiation Fees and Dues

Section 4.01                The initiation fee for membership shall be: $50.00 per year. Dues are to be paid at time of entry (pro-rated after July 1 to $25.00)

Section 4.02                Upon leaving The Club, the insignias must be removed from all vehicles. For outstanding service to The Club, plaques may in some cases be awarded to an honorary member.

Section 4.03                The dues for the active members of this club shall be payable to the treasurer at the first meeting of each year or upon entry. The dues may be changed accordingly by a two thirds vote of members.

Section 4.04                Any member whose dues are in arrears three (3) months shall automatically be suspended from membership and can be reinstated to full membership status only upon payment of all non-paid dues.

(a) (Amended November 4, 2012) Any member whose dues are in arrears twelve (12) months or longer will need to have their membership status sponsored, voted upon, and approved in the same manner as a new member

Section 4.05                Dues shall be waived for any member who enters the military service of his/her country until their return to active status in The Club.


Article V.        Officers

Section 5.01                The elective officers of this club shall be President, Vice President, Secretary, Treasurer, and Sergeant-at-Arms.

Section 5.02                A majority of the board of directors shall constitute a quorum at any meeting of the board.


Article VI.     Elections

Section 6.01                All nominees for office shall be active members in good standing.

Section 6.02                All nominees for President and Vice President shall be active members of at least two years in good standing. (Approved 1-8-2012)

Section 6.03                All elected and appointed officers must remain active members in good standing during their terms of office.

Section 6.04                All officers shall be elected at the last meeting prior to the beginning of the new term, shall assume office at the first regular meeting of the new term, and shall hold office for one year or until their successors are duly elected or qualified.

(a) Amended October 7, 2012 to read “…shall hold office for TWO YEARS or until their successors are duly elected or qualified. Treasurer shall hold office for THREE YEARS or until successor is duly elected or qualified.

(b) Added January 3rd 2016. “There are NO term limits”


Note: To become President of the Gent’s, all nominees must have served in another officer position in the Gent’s Auto club for 1 term.

Section 6.05                Nominations shall be made from the floor and all voting shall be by majority vote.

Section 6.06                Elections shall be decided by a majority vote (50%+1) of all active members in good standing present at said meeting.


Article VII.   Duties of Officers

Section 7.01                The President shall preside at all meetings of The Club; appoint such committees as necessary to carry out all the activities of The Club; serve as chairman of Board of Directors; see constitution; carry out the directives of the board of directors; decide the place for future meetings. In the absence of one of the officers at a meeting shall appoint a temporary replacement if there is a need for one; shall co-sign checks.

Section 7.02                The Vice President shall perform the duties of the President in his absence; co-sign checks, and render services to The Club as they are needed along with helping the President.

Section 7.03                The Secretary shall keep the minutes of the meetings of The Club; keep the membership; give notice of all regular and special meetings of the membership and board of directors; handle club correspondence, and scrapbook; and keep custody of all records of The Club.

Section 7.04                The Treasurer shall collect dues; collect all other money due The Club; keep The Club books, make payment from club funds when so ordered to by the board of directors; shall countersign all club checks; keep an account of all club money matters; and shall make regular reports of the financial condition at The Club meetings.

Section 7.05                The Sergeant-at-Arms shall maintain order at all meetings and shall see that the orders of the President are carried out.


Section 7.06                Any officer or board member may issue a call for special board meetings. (amended October 7, 2012)


Article VIII.                  Meetings

Section 8.01                A majority of the active members in good standing shall constitute a quorum.

Section 8.02                Regular membership meetings shall be held on the first Sunday of every month, at a time and place determined by the President.

Section 8.03                The President may call special board meetings and special membership meetings.

Section 8.04                Roberts Rules of Order shall govern the parliamentary proceedings of The Club, unless otherwise provided by these laws.

Section 8.05                The order of business for all meetings of The Club and board shall be as follows:

(a) Call to order

(b) Roll call

(c)  Introduction of visitors

(d) Reading and approval of minutes of previous meeting(s)

          (i)    Reading of the minutes dispensed with. They now appear in the monthly newsletter for review of club members. (Approved 1-8-2012)

(e)  Reading of correspondence

(f)   Report of Secretary

(g)  Report of Treasurer

(h) Report of committees

(i)   Old Business

(j)   New Business

(k) Announcements

(l)   Adjournment


Article IX.     Delegations

Section 9.01                Delegations shall be appointed by the President to represent The Club at any convention, meeting, or assembly as may be deemed necessary. Such delegations shall exercise only those powers specifically vested in them by the President.


Article X.        Amendments

Section 10.01            This constitution and bi-laws can be amended at any regular quorum, by a majority of all active members in good standing present.

Section 10.02            Amendments so adopted shall take effect immediately.
